THE VILLAGES MEDICAL AUXILIARY

Article I – Name
The name of this organization shall be “The Villages Medical Auxiliary” (VMA). The VMA, a 501c3 organization shall be subject to the rules and regulations established by the Board of Directors.
Article II – Objectives
The objectives of The Villages Medical Auxiliary shall be:
- To assist residents to live independent, active, and healthy lives.
- To provide medical educational services.
- To advance new ideas or facilities in the field of health and medicine.
- To promote a healthy, safe and caring environment in The Villages and community
- To serve as a caring neighbor.
Article III – Membership
All residents of The Villages are considered to be members of the VMA.
Article IV – VMA Funding
VMA activities shall be funded by donations from the community, such as memorials, commemoratives, bequests, annual donations, and fundraising projects.
Article V – Elected Officers
- The elected officers of The Villages Medical Auxiliary shall be President, Vice-President, Secretary and Treasurer.
- Officers shall be elected at the annual June Board meeting.
- Officers shall hold offices for one year starting July 1st or until their successors are appointed.
- In case of a vacancy in the office of President, the Vice-President shall become President. Vacancies in all other elected offices shall be filled by the Executive Board.
- A nominating committee of no less than 3 members shall be appointed by the President with approval of the Executive Board no later than April.
- Every decision made by a simple majority of the Executive Board present at a duly held meeting shall be regarded as a valid act.
Article VI – Appointed Positions
The appointed positions of The Villages Medical Auxiliary shall be the Communication Director, Events/Fund Raising Manager, Health Program Manager, Information Center Manager, Medical Equipment Manager, Transportation Manager, Recycle Manager, Community Outreach Manager, Assistant Treasurer, Volunteers positions Policy and Procedures, Webmaster, Memorial/Tributes, Donor Acknowledgement, Car sales, Golf Cart sales, Volunteer Records, Lunch Buddies, Parkinson’s program, Eyes for the Needy, Technical support . Additional positions and deletions will be at the discretion of the Executive Board.
Article VII – Executive Board
The Executive Board shall consist of the elected officers plus the Communication Director, and the previous President serving in an ex-officio role.
The Executive Board shall appoint additional positions as needed.
The Executive Board shall meet to receive reports, discuss new programs, prepare presentations for the Board for their action, and conduct other business as necessary between regular Board meetings.
The Executive Board shall approve or disapprove non-budgeted expenditure requests exceeding $300.
Article VIII – VMA Board
The VMA Board shall consist of the elected officers and appointed positions
- Board meetings shall be held monthly.
- Order of business shall be Minutes approval, financial report, old business, new business and position chair reports.
- A special meeting may be called by the President at any time.

Article X – Working Relationship
The VMA has established a working relationship with the Senior Resource Services (SRS) and Community Outreach. Representatives of both serve on the VMA Board.
ARTICLE XI-Internal Audit
The Vice President in conjunction with the Treasurer will conduct a routine examination of the financial reports no less than annually according to the Financial Examination Policy and Procedure section of the VMA Google Drive. Upon completion the Vice President will report its findings to the Board of Directors in October.
Article XII – Amendments
These Bylaws may be amended at any regular Board Meeting by a 2/3 vote of the VMA Board members present provided the amendment was submitted at a previous regular meeting. Amendments to the bylaws shall be submitted in writing at a previous regular schedule meeting of the Executive Board prior to a vote.
